1. Acceptance of Terms

By accessing or using the LEDGE platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using LEDGE on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms.

If you do not agree to these Terms, do not use our Service.

2. Description of Service

LEDGE is a financial analytics and intelligence platform that provides real-time dashboards, automated forecasting, runway tracking, investor readiness scoring, and related financial management tools for startups and growth-stage companies.

LEDGE is a software platform, not a financial institution, investment advisor, accounting firm, or licensed tax consultant. Nothing within the Service constitutes financial, investment, legal, or tax advice.

3. Account Registration

To use LEDGE, you must create an account. You agree to:

• Provide accurate and complete registration information

• Keep your login credentials confidential

• Notify us immediately of any unauthorized access to your account

• Be responsible for all activity that occurs under your account

You must be at least 18 years old and have legal authority to enter into contracts to use LEDGE.

4. Subscription and Payment

Plans LEDGE offers paid subscription plans as described on our Pricing page. Plan features and pricing are subject to change with reasonable notice.

Billing Subscriptions are billed monthly or annually depending on your selected plan. Payment is due at the beginning of each billing period.

Free trial New accounts may be eligible for a 14-day free trial. No credit card is required to start a trial. At the end of the trial period, you will need to subscribe to a paid plan to continue using the Service.

Cancellation You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. We do not provide refunds for unused portions of a billing period.

Late payment If payment fails, we reserve the right to suspend or terminate your account after a reasonable grace period.

5. Acceptable Use

You agree not to use LEDGE to:

• Violate any applicable law or regulation

• Upload false, misleading, or fraudulent financial data

• Attempt to gain unauthorized access to our systems or other users' accounts

• Reverse engineer, decompile, or disassemble any part of the Service

• Use the Service for personal or consumer finance purposes

• Resell or sublicense access to the Service without our written consent

• Introduce malware, viruses, or any harmful code

• Interfere with the performance or availability of the Service

We reserve the right to suspend or terminate accounts that violate these terms without prior notice.

6. Data and Integrations

Your data You retain ownership of all financial data you upload or connect to LEDGE. By using the Service, you grant LEDGE a limited license to process your data solely for the purpose of providing the Service.

Third-party integrations LEDGE integrates with third-party platforms including Stripe, QuickBooks, Xero, and Slack. These integrations are provided as a convenience. LEDGE is not responsible for the accuracy, availability, or continued support of third-party services. Your use of third-party integrations is subject to those providers' terms and privacy policies.

Data accuracy You are solely responsible for the accuracy of data entered into or connected to LEDGE. LEDGE does not verify the accuracy of your financial data and is not liable for decisions made based on inaccurate data.

7. Intellectual Property

All content, features, and functionality of the LEDGE platform — including but not limited to software, design, text, graphics, and logos — are the exclusive property of LEDGE, Inc. and are protected by intellectual property laws.

You may not copy, reproduce, distribute, or create derivative works from any part of our platform without our express written permission.

LEDGE™ is a registered trademark of LEDGE, Inc. Unauthorized use is strictly prohibited.

8. Confidentiality

Each party agrees to keep the other's confidential information strictly confidential and not to disclose it to third parties without prior written consent. This obligation survives termination of these Terms.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. LEDGE DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

ALL FINANCIAL PROJECTIONS, FORECASTS, AND INSIGHTS GENERATED BY LEDGE ARE ESTIMATES FOR INFORMATIONAL PURPOSES ONLY AND DO NOT CONSTITUTE A GUARANTEE OF FUTURE PERFORMANCE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEDGE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO LEDGE IN THE THREE MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless LEDGE, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

12. Termination

We may suspend or terminate your access to LEDGE at any time if we believe you have violated these Terms, engaged in fraudulent activity, or pose a risk to our platform or other users.

You may terminate your account at any time by contacting support@ledge.io. Upon termination, your data will be retained for 30 days during which you may request an export.

13. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the courts of Delaware.

14. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or through the platform. Continued use of LEDGE after changes take effect constitutes your acceptance of the updated Terms.
