We Closed Our Series A in 6 Weeks And What Our Financials Had to Do With It

The Due Diligence Trap Nobody Warns You About


When we started our raise, we thought our numbers were in good shape. We had a pitch deck, a financial model in Google Sheets, and a rough sense of our MRR and burn. What we didn't have was a single source of truth.


The moment our first term sheet came in, we got a data room request. Thirty-two items. P&L for the last 24 months. Cap table fully diluted. Cash flow statement. Cohort analysis. Revenue breakdown by customer segment. Forecast model with assumptions documented.


We had most of this — scattered across three spreadsheets, two accountants, and a Notion doc nobody had updated since Q1.
